1. Acceptance of Terms

By accessing or using PropertyTools ("the Service"), operated by PropertyTools ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

PropertyTools provides AI-powered rental property management software, including but not limited to document management, deadline tracking, expense tracking, financial reporting, cash flow forecasting, and asset management tools. The Service is available via web browser at app.propertytools.ai.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account and use the Service.

4. Subscription Plans and Billing

Free Plan

We offer a free Starter plan with limited features. The free plan may be modified or discontinued at any time with reasonable notice.

Paid Plans

Paid subscription plans are billed on a monthly basis. By subscribing to a paid plan, you authorize us to charge your designated payment method on a recurring basis. You may cancel your subscription at any time, and cancellation will take effect at the end of your current billing period.

Pricing Changes

We reserve the right to modify pricing with at least 30 days' notice. Price changes will take effect at the start of your next billing cycle following the notice period.

5. User Content and Data

Your Content

You retain all ownership rights to the content, documents, and data you upload or enter into the Service ("User Content"). By using the Service, you grant us a limited license to process, store, and display your User Content solely to provide and improve the Service.

Data Processing

Our AI features process your documents and financial data to extract information, categorize expenses, and generate insights. This processing is performed solely to deliver the Service to you. We do not use your User Content to train AI models for other customers.

Data Export

You may export your data at any time through the Service's export functionality. Upon account termination, you will have 30 days to export your data before it is deleted.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service or its infrastructure
• Reproduce, duplicate, or resell any part of the Service without permission
• Use the Service to store or transmit content that infringes on intellectual property rights
• Use automated tools to scrape or extract data from the Service

7. Third-Party Services

The Service may integrate with third-party services (e.g., Plaid for bank connections, payment processors). Your use of these integrations is subject to the respective third party's terms and privacy policies. We are not responsible for the practices of third-party services.

8. Intellectual Property

The Service, including its design, features, code, and content (excluding User Content), is owned by PropertyTools and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service without our prior written consent.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• Fitness for a particular purpose
• Accuracy or completeness of AI-generated insights, financial projections, or document parsing
• Uninterrupted or error-free operation
• Tax, legal, or financial advice — the Service provides tools and information but is not a substitute for professional advice

Financial projections, cash flow forecasts, and AI-generated categorizations are estimates and should not be relied upon as the sole basis for financial decisions. Always consult with a qualified accountant or financial advisor.

10. Limitation of Liability

To the maximum extent permitted by law, PropertyTools shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless PropertyTools, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason with reasonable notice. You may terminate your account at any time through your account settings or by contacting us.

Upon termination, your right to use the Service ceases immediately. Sections relating to intellectual property, disclaimers, limitation of liability, and indemnification shall survive termination.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Service with at least 30 days' notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration or in the courts of competent jurisdiction.
